CUSTOMER TERMS OF SERVICE

HTG Events LLC dba KnowBetterAV

Effective Date: Janurary 1, 2019

These Customer Terms of Service (“Terms”) establish the standard terms and conditions under which HTG Events LLC dba KnowBetterAV (“KnowBetterAV,” “Company,” “we,” “us,” or “our”) provides audio, video, lighting, production, equipment rental, equipment sales, system design, installation, programming, commissioning, service, consulting, and related services.

These Terms apply to proposals, estimates, quotes, invoices, work orders, rental transactions, installations, service calls, and other services provided by HTG Events LLC dba KnowBetterAV unless a separate written agreement signed by an authorized representative of the Company expressly provides otherwise.

The applicable proposal, quote, estimate, invoice, work order, rental agreement, or other written scope of work may contain additional terms specific to a particular project. In the event of a conflict, the specific written agreement or subsequently approved change order will control over these general Terms.

KnowBetterAV reserves the right to update these Terms from time to time. The Terms in effect when a particular proposal, order, rental, or project is accepted will generally govern that transaction unless otherwise stated in writing.

1. SCOPE OF SERVICES

HTG Events LLC dba KnowBetterAV provides professional audio, video, lighting, production, system design, installation, equipment rental, equipment sales, programming, commissioning, troubleshooting, and related AV services.

KnowBetterAV's responsibility is limited to the specific equipment, labor, services, and deliverables expressly identified in the applicable written scope.

Unless specifically included in writing, KnowBetterAV is not acting as the Customer's general contractor, architect, structural engineer, electrical contractor, mechanical contractor, fire-protection contractor, IT contractor, or other licensed professional.

Services outside the written scope may be performed only at KnowBetterAV's discretion and may be billed separately.

2. ESTIMATES, QUOTES, AND BUDGETS

Estimates, preliminary proposals, budgets, allowances, equipment lists, labor projections, and similar documents are based upon information reasonably available to KnowBetterAV at the time they are prepared.

Unless expressly identified in writing as a fixed-price agreement, an estimate is not a guarantee of the final cost.

Actual costs may vary because of:

  • Actual site conditions;

  • Additional labor requirements;

  • Additional materials;

  • Concealed conditions;

  • Changes requested by the Customer;

  • Changes requested by other project participants;

  • Engineering requirements;

  • Code or inspection requirements;

  • Equipment availability;

  • Manufacturer changes;

  • Shipping or freight costs;

  • Access limitations;

  • Existing infrastructure;

  • Conditions discovered after work begins;

  • Additional programming or commissioning;

  • Additional troubleshooting;

  • Required subcontractors or licensed trades; or

  • Other circumstances that could not reasonably be determined when the estimate was prepared.

Customer is responsible for the actual cost of authorized work and materials required to perform the contracted scope.

An estimate should not be interpreted as a guarantee that the final invoice will equal the estimated amount unless the document expressly states that it is a fixed-price contract.

3. WRITTEN REQUESTS AND CHANGES TO SCOPE

Customers are strongly encouraged to submit requests, changes, additions, deletions, substitutions, and special requirements in writing.

Written communications include email, text message, written change orders, approved proposal revisions, or other communications that can be reasonably documented.

If a Customer requests additional work verbally, by telephone, in person, through an employee, through a contractor, or through another representative, KnowBetterAV may rely upon that request and bill for the resulting labor, materials, equipment, and expenses.

KnowBetterAV is not obligated to provide additional work at no charge merely because the requested work was not included in the original proposal.

4. ADDITIONAL PARTS, MATERIALS, AND LABOR

AV projects frequently involve conditions that cannot be completely determined until installation or commissioning begins.

If additional parts, cable, connectors, adapters, hardware, mounting materials, brackets, fasteners, equipment, programming, labor, lifts, access equipment, freight, shipping, subcontractors, or other items are reasonably required to perform authorized work, those items may be billed in addition to the original estimate unless expressly included in the written scope.

KnowBetterAV will make reasonable efforts to communicate significant additional costs before incurring them when practical.

However, the absence of a separate written change order does not automatically make necessary or authorized additional work free of charge.

5. SITE CONDITIONS

Estimates and installation plans necessarily rely upon visible and disclosed site conditions.

KnowBetterAV is not responsible for concealed, unknown, defective, deteriorated, inaccessible, or undisclosed conditions.

This includes, without limitation:

  • Concealed electrical wiring;

  • Plumbing;

  • HVAC systems;

  • Structural members;

  • Hidden utilities;

  • Improper framing;

  • Deteriorated building materials;

  • Inadequate structural support;

  • Existing wiring problems;

  • Existing networking infrastructure;

  • Code violations;

  • Water intrusion;

  • Mold;

  • Asbestos;

  • Lead;

  • Hazardous materials;

  • Inaccessible spaces; or

  • Other conditions that could not reasonably be identified before work began.

Discovery of such conditions may require modification of the installation method, additional labor or materials, engagement of another contractor, suspension of work, or additional charges.

6. STRUCTURAL CONDITIONS

Unless specifically contracted otherwise, KnowBetterAV does not provide structural engineering or certify the structural capacity of a building or mounting surface.

Customer and/or the property owner is responsible for ensuring that walls, ceilings, roofs, trusses, beams, columns, framing, concrete, or other structures are capable of supporting the proposed equipment and installation method.

KnowBetterAV may require written approval from an architect, engineer, property owner, general contractor, or other qualified professional before proceeding with certain installations.

KnowBetterAV may refuse or suspend work where it reasonably believes that a proposed installation presents an unsafe structural condition.

Additional engineering, reinforcement, rigging, lifts, access equipment, or structural work is outside the AV installation scope unless expressly included in writing.

7. ELECTRICAL SYSTEMS

Unless specifically stated otherwise, KnowBetterAV's scope does not include electrical contracting.

Customer is responsible for providing suitable electrical service for the equipment being installed or operated.

KnowBetterAV is not responsible for existing or customer-provided:

  • Electrical panels;

  • Breakers;

  • Branch circuits;

  • Receptacles;

  • Disconnects;

  • Grounding;

  • Voltage;

  • Electrical capacity;

  • Electrical code compliance;

  • Generator systems;

  • Power distribution; or

  • Other electrical infrastructure.

Where electrical work is required, Customer is responsible for engaging an appropriately licensed electrical contractor unless such work is expressly included within KnowBetterAV's written scope and performed through appropriately authorized personnel.

KnowBetterAV is not responsible for damage, equipment failure, noise, interference, downtime, or other problems caused by inadequate, defective, improperly configured, or improperly installed electrical systems.

8. OTHER TRADES AND CONTRACTORS

KnowBetterAV is not responsible for the work, delays, omissions, negligence, or performance of other contractors or trades.

This includes general contractors, electricians, architects, engineers, IT companies, network contractors, riggers, construction companies, property managers, landlords, venue personnel, and other third parties.

Where multiple contractors are involved, Customer is responsible for overall project coordination unless KnowBetterAV has expressly agreed in writing to assume that responsibility.

KnowBetterAV is not responsible for conditions or damage resulting from work performed by another contractor.

9. EXISTING EQUIPMENT AND INFRASTRUCTURE

Equipment, wiring, networking, power systems, mounting hardware, software, or other infrastructure not supplied by KnowBetterAV is provided on an “as-is” basis unless otherwise agreed in writing.

KnowBetterAV may attempt to integrate existing or third-party equipment when requested. Compatibility and performance cannot be guaranteed.

Troubleshooting, modification, repair, replacement, programming, or additional labor required because of existing or third-party equipment may be billed separately.

KnowBetterAV does not assume responsibility for defects in equipment or infrastructure that it did not supply.

10. SYSTEM PERFORMANCE

KnowBetterAV will make reasonable efforts to design, install, configure, and commission systems according to the agreed scope and applicable manufacturer specifications.

Actual AV performance can be affected by numerous factors outside KnowBetterAV's control, including:

  • Room acoustics;

  • Building construction;

  • Audience size and location;

  • Ambient noise;

  • Electrical conditions;

  • Equipment placement;

  • Existing infrastructure;

  • Network conditions;

  • Environmental conditions;

  • Customer operation;

  • Third-party equipment; and

  • Subsequent modifications.

Unless expressly guaranteed in a signed written agreement, KnowBetterAV does not guarantee a particular SPL, acoustic response, coverage result, video image, network speed, lighting effect, recording quality, or other performance result at every location.

11. INSTALLATION COMPLETION AND ACCEPTANCE

Installation projects are considered substantially complete when the contracted system has been installed and is operational in accordance with the agreed scope, subject to minor punch-list items, programming adjustments, cosmetic items, labeling, tuning, or other minor completion items.

Customer is expected to inspect completed work promptly and notify KnowBetterAV of any specific deficiencies.

Customer's continued use of the system following completion constitutes evidence that the system has been accepted for its intended use, except with respect to defects that could not reasonably have been discovered through ordinary inspection.

12. CUSTOMER ACCESS AND RESPONSIBILITIES

Customer is responsible for providing:

  • Reasonable access to the premises;

  • Safe working conditions;

  • Necessary permissions;

  • Property-owner authorization;

  • Access to equipment rooms and work areas;

  • Suitable electrical service;

  • Suitable structural support;

  • Accurate project information;

  • Access during agreed installation hours; and

  • Coordination with other contractors where applicable.

Delays, additional labor, travel, equipment rentals, or other costs caused by failure to provide these items may be billed to Customer.

13. SAFETY

KnowBetterAV reserves the right to suspend work if personnel encounter conditions that reasonably appear unsafe.

This includes unsafe structures, electrical hazards, hazardous materials, unsafe access, construction hazards, inadequate working surfaces, weather conditions, or other hazards.

KnowBetterAV may require Customer or another qualified contractor to correct the condition before work resumes.

Additional costs caused by unsafe or unsuitable conditions may be billed to Customer.

14. MANUFACTURER WARRANTIES

Equipment supplied by KnowBetterAV may be covered by the applicable manufacturer's warranty.

KnowBetterAV does not provide a warranty broader than the manufacturer's warranty unless expressly stated in writing.

Warranty coverage does not automatically include labor, removal, transportation, freight, troubleshooting, reinstallation, programming, or other services unless covered by the applicable warranty.

KnowBetterAV may assist with manufacturer warranty claims but does not guarantee the manufacturer's determination.

15. SERVICE CALLS

Service calls resulting from misuse, unauthorized modifications, third-party equipment, third-party work, electrical problems, networking problems, building conditions, environmental conditions, or other circumstances outside KnowBetterAV's responsibility are billable.

Service charges may include labor, travel, minimum service charges, diagnostic time, parts, equipment rental, freight, programming, and other applicable expenses.

16. LOANER, DEMONSTRATION, AND TEMPORARY EQUIPMENT

Equipment provided for demonstration, testing, evaluation, troubleshooting, temporary use, or as a loaner remains the property of HTG Events LLC dba KnowBetterAV.

Customer shall return such equipment promptly upon request.

Customer is responsible for loss, theft, damage, unauthorized modification, or destruction of Company-owned equipment while in Customer's possession or control, except to the extent caused by KnowBetterAV's own negligence.

17. RENTAL EQUIPMENT

Rental equipment remains the property of HTG Events LLC dba KnowBetterAV.

Customer is responsible for rental equipment from the time it is delivered or placed under Customer's control until it is returned and accepted by KnowBetterAV.

Customer is responsible for loss, theft, damage, misuse, unauthorized modification, or destruction of rental equipment beyond normal wear and tear.

Rental charges may continue until equipment is returned in accordance with the applicable rental agreement.

18. PAYMENT

Payment terms are established by the applicable proposal, invoice, rental agreement, or other written documentation.

KnowBetterAV may suspend work, deliveries, rentals, programming, support, or other services when an account becomes past due.

Customer may not withhold unrelated amounts because of a dispute concerning another portion of the project.

Customer should notify KnowBetterAV promptly in writing of any disputed invoice and identify the specific charge being disputed.

Undisputed amounts remain due.

19. LATE PAYMENT AND COLLECTION

Past-due balances may be subject to interest, late fees, collection expenses, reasonable attorney's fees, court costs, and other remedies to the extent permitted by applicable law.

KnowBetterAV reserves all rights and remedies available under Florida law for collection of unpaid balances.

20. CANCELLATION

Cancellation of an approved project, order, rental, or installation may result in charges for work performed, equipment ordered, special-order items, custom materials, freight, restocking fees, vendor cancellation charges, engineering, design, programming, and other costs incurred by KnowBetterAV.

Custom, special-order, nonreturnable, or specially fabricated equipment or materials may be nonrefundable.

21. DELAYS AND FORCE MAJEURE

KnowBetterAV is not responsible for delays caused by circumstances outside its reasonable control, including manufacturer delays, shipping delays, supply shortages, weather, hurricanes, natural disasters, labor shortages, government actions, permitting, inspections, site access restrictions, other contractors, transportation problems, utility failures, or other circumstances beyond KnowBetterAV's reasonable control.

22. CUSTOMER PROPERTY

KnowBetterAV will exercise reasonable care while working at a Customer's property.

However, KnowBetterAV is not responsible for damage to concealed, defective, deteriorated, improperly constructed, or unsuitable building components where the condition could not reasonably have been identified before work was performed.

Customer is responsible for identifying concealed utilities, wiring, plumbing, structural hazards, and other conditions that are not reasonably visible or disclosed.

23. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, HTG Events LLC dba KnowBetterAV's total liability arising from or relating to any project, installation, rental, sale, service, proposal, estimate, invoice, equipment, or other transaction shall be limited to the amount actually paid to KnowBetterAV for the specific goods or services giving rise to the claim.

To the maximum extent permitted by applicable law, KnowBetterAV shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost profits, lost revenue, loss of business, loss of use, event cancellation losses, venue losses, business interruption, or other consequential economic damages.

Nothing in these Terms is intended to exclude liability that cannot legally be excluded or limited under applicable law.

24. NO GUARANTEE OF BUSINESS OR EVENT RESULTS

KnowBetterAV provides AV equipment and related professional services.

KnowBetterAV does not guarantee event attendance, revenue, profitability, audience response, ticket sales, recording results, business performance, or any other commercial result.

25. UNAUTHORIZED MODIFICATIONS

Customer shall not modify, relocate, rewire, reconfigure, alter, repair, or otherwise modify an installed AV system in a manner that could affect its performance or safety without KnowBetterAV's approval.

KnowBetterAV is not responsible for problems resulting from unauthorized modifications or work performed by others.

26. INDEMNIFICATION

To the maximum extent permitted by applicable law, Customer agrees to indemnify and hold HTG Events LLC dba KnowBetterAV harmless from claims, damages, losses, liabilities, costs, and expenses arising from Customer's use of equipment, Customer's premises, Customer's employees, guests, contractors, agents, unauthorized modifications, or conditions outside KnowBetterAV's contracted scope.

This provision does not require Customer to indemnify KnowBetterAV to the extent prohibited by applicable law.

27. INSURANCE

Customer is responsible for maintaining appropriate insurance covering its property, premises, operations, employees, guests, events, equipment in its possession, and other activities.

KnowBetterAV's insurance does not replace Customer's obligation to insure its own property and operations.

28. INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, system designs, drawings, proposals, programming, DSP files, presets, configuration files, documentation, photographs, and other materials created by KnowBetterAV remain the Company's property.

Payment for equipment or installation does not automatically transfer ownership of proprietary designs, programming, or documentation.

29. PHOTOGRAPHS AND MARKETING

Unless Customer provides written notice to KnowBetterAV before the applicable project begins, KnowBetterAV may photograph completed installations and use such photographs for portfolio, documentation, website, social media, and marketing purposes.

KnowBetterAV will not intentionally disclose confidential information through such use.

30. SUSPENSION OR TERMINATION

KnowBetterAV may suspend or terminate services when:

  • Customer fails to make required payments;

  • Customer materially changes the scope;

  • required access is denied;

  • required approvals are not obtained;

  • the site becomes unsafe;

  • Customer materially breaches applicable terms;

  • continuing the work would reasonably create a legal or safety issue; or

  • circumstances outside KnowBetterAV's reasonable control prevent performance.

Customer remains responsible for costs incurred through suspension or termination, including labor, equipment, materials, freight, cancellation charges, and other committed expenses.

31. LEGAL RIGHTS AND REMEDIES

Nothing in these Terms is intended to waive any statutory, contractual, lien, collection, security, or other legal rights available to HTG Events LLC dba KnowBetterAV under applicable law.

KnowBetterAV expressly reserves all rights and remedies available under Florida law.

32. DISPUTES

The parties are encouraged to attempt to resolve disputes in good faith before initiating litigation.

Nothing in this provision prevents KnowBetterAV from pursuing collection of unpaid amounts, recovering Company-owned property, preserving statutory rights, seeking emergency relief, or pursuing other remedies available under applicable law.

33. GOVERNING LAW

These Terms shall be governed by the laws of the State of Florida.

Any dispute shall be brought in a court of competent jurisdiction in the venue permitted by applicable Florida law, unless a separate written agreement provides otherwise.

34. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in effect to the maximum extent permitted by law.

35. ENTIRE AGREEMENT

These Terms are intended to establish the general terms applicable to KnowBetterAV's services.

A proposal, quote, estimate, invoice, work order, rental agreement, change order, or other written agreement may contain additional or different terms applicable to a specific transaction.

Where a specific written agreement conflicts with these general Terms, the specific written agreement will control to the extent of the conflict.
